Terms of Use & Onboarding Agreement

This Terms of Use & Onboarding Agreement ("Agreement") governs your access to and use of the Hakini.io platform ("Platform").
By registering, onboarding, or using the Platform, you ("Customer", "Professional", "you") agree to be bound by this Agreement.
1. Platform Overview
Hakini.io is a Software-as-a-Service (SaaS) platform that enables professionals and customers to create, manage, and operate their own digital service platforms.
Through Hakini.io, you may:
create a personalized page using a subdomain (e.g., yourname.hakini.io), or
connect and operate through a custom domain (e.g., yourwebsite.com)
The Platform provides tools for:
appointment scheduling
communication (video, audio, chat)
payment facilitation
client management
content delivery
Hakini.io does not provide healthcare, medical, or therapeutic services.
2. Eligibility & Professional Responsibility
By using the Platform, you represent and warrant that:
you are legally authorized to provide the services you offer
you hold all required licenses, certifications, or qualifications
you comply with all applicable laws and regulations
You acknowledge that:
all services are provided directly by you to your clients
you are solely responsible for:
service quality
client interactions
professional conduct
Hakini.io is not responsible for the services provided through the Platform, and is not liable for the results, outcomes, or disputes arising from such services.
3. Independent Relationship
You acknowledge and agree that:
Customer or/and Professional operates independently and is solely responsible for its use of the Platform.
Hakini.io is not a party to any agreement between you and your clients
Hakini.io does not supervise, control, or monitor your services or communications
4. Platform Services
Hakini.io provides access to digital tools and infrastructure only.
The Platform may be updated, modified, or enhanced at any time without prior notice.
5. Payments & Financial Terms
5.1 Payment Processing
The Platform facilitates payments through an internal wallet system.
clients may pay for services through the Platform
funds are credited to your wallet
payment gateway configurations are available in some countries
5.2 Withdrawals
you may request withdrawal of funds at any time
processing times may vary depending on payment providers
5.3 Fees
You acknowledge that:
Hakini.io does not cover third-party fees, including:
payment gateway fees
bank transfer fees
You are solely responsible for such fees.
Hakini.io reserves the right to introduce platform fees or commissions with prior notice.
6. Subscription & Billing
access to the Platform is provided on a subscription basis
subscription fees are billed periodically (monthly unless otherwise specified)
You may:
upgrade or downgrade your plan
cancel your subscription at any time
Hakini.io does not guarantee refunds unless required by applicable law.
Hakini.io reserves the right to modify pricing with prior notice.
7. Custom Domain Policy
If you choose to use a custom domain:
you are solely responsible for purchasing, registering, and maintaining the domain
Hakini.io does not cover the cost of purchasing or renewing any domain
Hakini.io may assist with technical configuration only
the domain will be hosted on Hakini's servers
Hakini.io is not responsible for:
domain ownership disputes
renewal failures
errors or issues from third-party domain providers
8. Data, Privacy & Confidentiality
Hakini.io implements reasonable technical and organizational measures to protect data.
You acknowledge that:
you are responsible for maintaining confidentiality of your client data
you must comply with all applicable data protection and privacy laws
Hakini.io shall not be liable for loss of data resulting from user actions, third-party integrations, or circumstances beyond its reasonable control.
Hakini.io does not guarantee compliance with specific regulatory frameworks unless explicitly stated.
9. Acceptable Use
You agree not to:
use the Platform for unlawful, harmful, or unethical activities
misrepresent your identity, qualifications, or services
engage in fraudulent, abusive, or misleading conduct
Hakini.io reserves the right to suspend or terminate accounts in case of violation.
9.1 Usage Restrictions
You agree not to:
use Hakini.io in any way other than for its intended purpose as a professional service platform.
share, resell, lease, sublicense, or commercially distribute any part of the Platform without written permission.
copy, alter, translate, or create derivative versions of the Platform or its underlying technology, except where legally permitted.
interfere with, overload, or disrupt the normal operation or security of the Platform or its systems
attempt to access accounts, data, or systems that do not belong to you
bypass or manipulate any technical limitations, usage limits, or access controls
reverse engineer, decompile, or attempt to extract the source code or structure of the Platform, except where allowed by law
use the Platform in a way that competes directly by replicating its core features or functionality without authorization
10. Platform Availability
Hakini.io aims to provide reliable service but does not guarantee uninterrupted availability.
You acknowledge that:
downtime, maintenance, or updates may occur
service interruptions may happen
failures caused by factors outside its reasonable control.
Hakini.io shall not be liable for such interruptions.
Hakini.io may update, modify, or improve the Platform at any time to enhance performance, security, or functionality, with or without prior notice.
11 Professional Intellectual Property
you retain ownership of your content
you grant Hakini.io a limited, non-exclusive license to use such content for platform operation
11.1 Provider Intellectual Property
All rights to the Platform, including software, design, and infrastructure, remain the property of Hakini.io.
12. Limitation of Liability
To the maximum extent permitted by law, Hakini.io shall not be liable for:
indirect, incidental, or consequential damages
loss of revenue, clients, competitive disadvantage, or business opportunities
disputes between you and your clients
outcomes of services provided through the Platform
claims brought by third parties, except where expressly covered under indemnification obligations
Your use of the Platform is at your own risk.
13. Indemnification
13.1 Indemnification by Hakini.io
Hakini.io will defend you against third-party claims alleging that the Platform directly infringes valid intellectual property rights
Hakini.io will not be responsible for claims resulting from
modifications made by you or third parties
use of the Platform with external software, systems, or services not provided by Hakini.io
failure to use updated versions of the Platform made available by Hakini.io
use of the Platform in violation of these Terms
13.2 Indemnification by Professional
You agree to indemnify and hold harmless Hakini.io from any claims, damages, or liabilities arising from:
your services
your client interactions
your violation of this Agreement
14. Temporary Suspension
Hakini.io may suspend your account if:
you violate this Agreement
your use of the Platform creates risk or harm, e.g., a security risk to the Platform, or negatively affecting the stability, operation, or performance of the Platform or impacts other Professionals of Hakini.io
your use of the platform could expose Hakini.io or its affiliates to legal liability or regulatory risk.
you fail to fulfill payment obligations related to subscriptions or other applicable fees.
15. Termination
You may terminate your use of the Platform at any time after having received written notice
Hakini.io may terminate your access to the Platform if You violate these Terms, including failure to pay applicable fees, and do not resolve the violation within thirty (30) days after receiving notice.
15.1 Effect of Termination
all rights granted to you under these Terms will immediately end, and you must stop using the Platform.
any outstanding payment obligations will remain payable
You must, upon Hakini.io request, delete or destroy any confidential materials, proprietary information, or unauthorized copies of Platform-related content in their possession or control.
16. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Delaware, United States.
17. Acceptance of Terms
By accessing or using Hakini.io, you confirm that:
you have read and understood this Agreement
you agree to be bound by its terms
you will use the Platform in a professional and lawful manner
